Terms of Service

1. Parties & Definitions

These Terms of Service (“Terms”) govern the relationship between WellPDF (“WellPDF”, “Company”, “we”, “us”), (YES BİLİŞİM TEKNOLOJİLERİ YAZILIM DANIŞMANLIK SAN. VE TİC. A.Ş.), and any natural or legal person (“User”, “you”) who uses the WellPDF service (wellpdf.com).

1.1. Definitions

• Service: the web-based PDF processing, conversion, OCR, editing, and subscription-management platform offered through WellPDF.
• User Content: PDFs, images, or other files uploaded by the User to the Service.
• Premium Plan: a paid monthly or annual subscription unlocking additional features.
• Account: the authenticated workspace assigned to each User.
• Merchant of Record (MoR): Lemon Squeezy (Lemon Squeezy, LLC), the third-party payment platform that processes all billing, VAT collection, and refunds on behalf of WellPDF.

By using the Service, you confirm that you have read, understood, and accept these Terms.

2. Service Scope

WellPDF is a browser-based SaaS PDF platform. Core features include:

• PDF merge, split, compress, page extract/delete, rotate, crop, page numbering
• Word / Excel / PowerPoint / image ↔ PDF conversion
• OCR (24+ languages) and text extraction
• PDF editing (Apryse WebViewer)
• Watermarking, redaction, PDF/A conversion, flatten, repair
• HTML-to-PDF conversion, PDF translation
• Greyscale conversion
• Subscription-based Premium features (unlimited processing, full toolset)

WellPDF may evolve, change, or retire features without prior notice. Material changes will be announced via in-app notification and/or email.

3. Account & Security

• You must be at least 18 years old or have legal guardian consent to create an account.
• Information you provide (name, email) must be accurate and current; using false or third-party information is a breach of these Terms.
• You are responsible for the secrecy of your password and for all activity under your account.
• If you suspect unauthorised access, notify [email protected] immediately.
• WellPDF applies reasonable security measures (TLS, bcrypt, AES-256, audit logging) but does not guarantee absolute security.
• You may sign in with Google. When using third-party authentication, the provider’s terms also apply.

4. Acceptable Use

4.1. Prohibited Content

The following content is strictly prohibited on the Service:

• Materials that infringe third-party copyrights (unauthorised copies of software, e-books, course materials).
• Pornographic content, child exploitation material, content that incites violence.
• Fake invoices, fraudulent documents, forged official documents.
• Files containing malware, ransomware, or embedded exploits.
• Personal data of third parties obtained without their explicit consent.
• Any content that violates applicable laws.

4.2. Prohibited Actions

• Sending automated bulk requests via bots / scrapers / headless browsers; attempting to bypass rate limits.
• Reverse-engineering the API or attempting to bypass security mechanisms.
• Using another person’s account without permission, selling or transferring your account.
• Unauthorised access to source code; abusive usage that damages the infrastructure.
• Attempting to circumvent payment or authentication mechanisms.

Violations may result in warnings, account suspension, permanent account closure, and legal action.

5. User Content

You retain full ownership of intellectual property rights in all files you upload; WellPDF does not claim ownership.

5.1. Limited Licence

You grant WellPDF a temporary, non-exclusive, royalty-free licence over uploaded files solely to provide the Service (storage, conversion, processing). This licence terminates when your files are deleted.

5.2. Automatic Deletion

Uploaded PDFs are automatically deleted after processing. Output files are deleted on the same schedule.

5.3. Responsibility

You warrant that your content does not violate any law, third-party rights, or these Terms. All results generated by the Service are provided “as is”; you are responsible for verifying their accuracy.

6. Intellectual Property

The source code, design, logos, trademarks, documentation, and all related materials of WellPDF are the exclusive property of WellPDF. Unauthorised reproduction, distribution, or reverse-engineering is prohibited.

You may use the Service for personal or internal business purposes only, in compliance with these Terms.

Third-party software (e.g. Apryse WebViewer, LibreOffice, pikepdf, Tesseract OCR) is subject to its own licence terms.

7. Subscription & Payment

7.1. Plans

All prices are in US Dollars (USD). Applicable taxes (VAT/sales tax) are calculated and collected by Lemon Squeezy at checkout based on your location.

7.2. Payment

• All payments are processed by Lemon Squeezy as the Merchant of Record. Lemon Squeezy handles billing, tax collection, invoicing, and refunds.
• Card details are never stored on or transmitted to WellPDF servers. All payment data is handled entirely by Lemon Squeezy’s PCI-DSS compliant infrastructure.
• Premium features are activated immediately upon payment confirmation.

7.3. Renewal

Premium subscriptions do not auto-renew. At the end of the subscription period, your account reverts to the Free plan. You may manually purchase a new subscription at any time.

7.4. Invoicing

Invoices and receipts are provided by Lemon Squeezy and sent to your registered email address after payment confirmation.

8. Withdrawal Right & Refunds

Under the EU Consumer Rights Directive 2011/83/EU, consumers resident in the EU/EEA may exercise the right of withdrawal within 14 days of purchase, without giving any reason.

Subscription cancellation is one click: Account Settings → Subscription → Cancel Subscription. After cancellation, Premium remains active until the end of the paid period.

9. Service Availability & Changes

• WellPDF targets 99% uptime but does not guarantee uninterrupted service.
• Planned maintenance is announced at least 24 hours in advance via in-app notice / email.
• Unplanned outages are addressed as quickly as possible.
• If the Service is fully discontinued, Users are notified at least 30 days in advance, and Premium Users’ remaining periods are refunded pro-rata.

10. Limitation of Liability

The Service is provided “as is” and “as available”. WellPDF makes no express or implied warranty of fitness for a particular purpose, uninterrupted operation, or error-free output.

To the maximum extent permitted by law:

• WellPDF is not liable for indirect, incidental, special, or consequential damages (loss of profit, data loss, business interruption).
• WellPDF’s total liability is limited to Premium fees paid by the User in the 12 months preceding the claim.
• The User accepts that the Service is not a backup or sole-storage solution; backups of important files are the User’s responsibility.

This limitation does not apply to intentional misconduct or gross negligence, or mandatory consumer protection rights under EU law that cannot be excluded by contract.

11. Indemnification

The User agrees to indemnify and hold harmless WellPDF from any claims, lawsuits, regulatory penalties, or damages arising from: (a) User Content that violates these Terms or applicable law; (b) misuse of the Service; (c) breach of any representation made by the User.

12. Termination

12.1. By the User

You may close your account at any time via Account Settings → Close Account. All personal data is deleted within 30 days under Article 17 GDPR.

12.2. By WellPDF

WellPDF may terminate or suspend the account in the following situations:

• Breach of these Terms, especially Section 4 (Acceptable Use).
• A legitimate request from legal or regulatory authorities.
• Failure to fulfil payment obligations (Premium accounts).
• Use that damages or risks damaging the Service infrastructure.

For severe violations, WellPDF may close the account without prior notice; in such cases, WellPDF has no obligation to refund.

13. Governing Law & Jurisdiction

These Terms are governed by the laws of the Republic of Türkiye and applicable EU regulations where the user resides in the EU. Disputes are subject to the jurisdiction of Istanbul Central (Çağlayan) Courts and Enforcement Offices.

For consumers resident in the EU/EEA, mandatory consumer protection laws of your country of residence apply where they provide a higher level of protection. You may also use the EU Online Dispute Resolution (ODR) platform: https://ec.europa.eu/consumers/odr.

14. Modifications

WellPDF may update these Terms as needed. Material changes are announced at least 15 days before they take effect via in-app notification and/or email.
